Terms of Service

1. Acceptance of Terms

By accessing and using HookLab ("the Service"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

HookLab provides AI-powered tools for creating TikTok and UGC (User-Generated Content) marketing materials, including:

  • UGC Brief generation
  • TikTok Script generation
  • Visual Briefs
  • Shotlists and B-roll guides
  • Thumbnail specifications and images
  • Storyboard generation
  • Brand Voice profiles
  • Algorithm tips and recommendations

3. User Accounts

To access certain features, you must create an account using Google OAuth. You are responsible for:

  • Maintaining the security of your account
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

4. Eligibility and Age Requirements

By using the Service, you represent and warrant that:

  • You are at least 18 years of age or the age of legal majority in your jurisdiction
  • You have the legal capacity to enter into a binding contract
  • You are not prohibited by law from using the Service
  • If you are using the Service on behalf of a business or entity, you have the authority to bind that entity to these Terms

We do not knowingly collect information from or direct any of our content to children under 13. If we learn that we have collected personal information from a child under 13, we will delete that information as quickly as possible. If you believe that a child under 13 may have provided us with personal information, please contact us immediately.

5. Payment Terms

Subscriptions: Monthly subscriptions are billed automatically via Stripe. Subscriptions renew monthly until canceled.

Refills: One-time credit purchases ("Refills") are processed immediately and credits never expire.

Pricing: We reserve the right to modify pricing with 30 days' notice. Existing subscriptions will be grandfathered at current rates until renewal.

Refunds: All sales of credits and digital content are final. No refunds will be provided. See our Refund Policy for details.

6. Credits and Usage

Monthly Credits: Subscription plans include monthly credits that reset on your billing date. Unused credits do not roll over.

Refill Credits: Credits purchased as one-time refills never expire and can be used at any time.

Content Storage and Automatic Deletion:

  • Generated content (briefs, scripts, shotlists, visual briefs) is stored for 7 days, after which it is automatically and permanently deleted from our servers
  • Thumbnails and storyboards are stored for 30 days, after which they are automatically and permanently deleted from our servers
  • Brand Voice profiles are stored indefinitely and never expire
  • Important: Once content is deleted, it cannot be recovered. We strongly recommend downloading your content before the expiration period

7. Acceptable Use

You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose
  • Attempt to abuse, automate, or scrape the Service
  • Resell credits or access to the Service
  • Use the Service to generate harmful, offensive, or misleading content
  • Attempt to reverse engineer or access our AI models
  • Exceed reasonable personal or business use (we may suspend accounts for abuse)

8. Intellectual Property

Your Content: You own all rights to the content generated using our platform. We retain no rights to your generated content.

Our Service: The HookLab platform, AI models, and associated intellectual property remain our exclusive property.

Anonymized Data: We may collect and use anonymized, aggregated usage data to improve our Service.

9. Third-Party Services

Our Service integrates with third-party providers:

  • Stripe: Payment processing
  • OpenAI: AI content generation
  • Anthropic: AI content generation
  • Vercel: Hosting and infrastructure
  • PostHog: Analytics
  • Resend: Email delivery

Your use of these services is subject to their respective terms and privacy policies.

10. Service Changes

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We are not liable for any modification, suspension, or discontinuance of the Service.

11. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to:

  • Third-party service outages: OpenAI API, Anthropic API, Stripe, Vercel, or other critical service providers
  • Natural disasters: Earthquakes, floods, fires, pandemics, or other acts of God
  • Infrastructure failures: Internet disruptions, power outages, telecommunications failures
  • Government actions: Laws, regulations, orders, or other governmental restrictions
  • Cyberattacks: DDoS attacks, hacking attempts, or other malicious activities
  • Labor disputes: Strikes, lockouts, or other labor-related issues

During any Force Majeure event, our performance obligations will be suspended for the duration of the event. We will make reasonable efforts to notify you of any such events and resume service as quickly as possible.

12. Limitation of Liability

The Service is provided "AS-IS" without warranties of any kind. We are not liable for:

  • Lost revenue, profits, or business opportunities
  • Indirect, incidental, or consequential damages
  • Service downtime or interruptions
  • Quality, accuracy, or effectiveness of AI-generated content
  • Third-party service failures (Stripe, OpenAI, etc.)

Our maximum liability to you for any claim is limited to the amount you paid us in the 12 months prior to the claim.

13. Termination

You may cancel your subscription at any time via your account dashboard or the Stripe customer portal. Cancellations take effect at the end of the current billing period with no pro-rata refunds.

We may suspend or terminate your account immediately if you violate these Terms, engage in abusive behavior, or use the Service in a way that harms our operations or reputation.

14. Indemnification

You agree to indemnify, defend, and hold harmless HookLab, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms of Service
  • Your violation of any third-party rights, including intellectual property rights, privacy rights, or publicity rights
  • Any content you generate using the Service that infringes, misappropriates, or violates any rights of any third party
  • Any harmful, illegal, or defamatory content you create or distribute using our AI-generated content
  • Your commercial use of generated content that results in claims of copyright infringement, trademark violation, or other legal issues
  • Any claim that content you generated caused harm to a third party

This indemnification obligation will survive the termination of these Terms and your use of the Service.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action lawsuit.

16. Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles.

17. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent. If such modification is not possible, the invalid provision shall be severed from these Terms.

The remaining provisions of these Terms shall continue in full force and effect and shall not be affected by the invalid, illegal, or unenforceable provision or by its severance from these Terms. The parties agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision.

18. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.
